Zuitt Japanese Language Program is a Service owned by Zuitt JP Inc.. Our program is designed to provide comprehensive Japanese Language Training focusing on vocabulary, grammar, listening, and reading. It aims to enhance the Japanese language proficiency of the Student to explore opportunities.
The Terms and Conditions stipulated below and the Privacy Policy accessible at https://zuitt.com/privacy (the “Terms”) shall govern all your use of the Zuitt Japanese Language Program website, services, assessments, softwares, and support (collectively, the “Service”) that Zuitt JP Incorporated (“Zuitt”,”Company”, “us”, “we”) offers through the Website or its mobile applications (the “Apps”). By directly or indirectly using and accessing the Service, you (“User”, “you”) agree to be bound and abide by these Terms and all applicable laws, rules and regulation, in all respects, at all times. You also agree that you will not use or access, or immediately discontinue your use or access, of the Service if you have, at any time, any claim or reservation against any matter in these Terms. By using or accessing the Service, or continuing the use or access thereof, you signify that you fully accept these Terms and that you agree to abide by them. Zuitt does not claim any intellectual property rights over the materials or data you submit or input into the Service (the “User Content”). All User Content remain your property. However, you agree that Zuitt shall have a limited, royalty-free, worldwide license to use and display your name, company or organization name and logo as reference when marketing its products and services, including but not limited to displaying it on the Service’s website homepage.
Without limiting the foregoing, you agree not to reproduce, duplicate, copy, sell, or resell or exploit for any commercial purposes, any aspect of the Service or the Materials.
Nothing herein shall be deemed to transfer any intellectual property rights of Zuitt, its licensors, or any third-party website to you. All rights remain between the User, Zuitt, and the third-party website.
We reserve all rights to the Service and the Materials not expressly granted herein. If you download or print a copy of the Materials for personal use, you must retain all copyright and other proprietary notices contained therein. You hereby agree to defend, indemnify, and hold harmless Zuitt, the Related parties, and their licensors from and against any and all claims and damages, loss and obligations, and costs, including but not limited to attorney's’ fees, arising out of, or directly or indirectly connected, to your use of the Service, including but not limited to your violation of these Terms.
Any forms of claims or disputes which may arise involving the Service, the Privacy Policy, or these Terms, shall prosper only if the other party was notified in writing of the basis thereof within fifteen (15) days from when it first occurred (the “Dispute Notice”). Upon receipt of the Dispute Notice, the claim or dispute shall first undergo a good faith negotiation for a maximum of twenty (20) business days unless an extension of negotiation period is agreed upon by both parties. If disputes cannot be settled through negotiation, the use of arbitration shall be the last resort in resolving such disputes.
Any dispute, controversy, or claim arising out of or relating to the Service, or the Privacy Policy, or these Terms, or the breach, termination, or invalidity thereof that is not settled by negotiation in the preceding paragraph shall be settled by arbitration.
The language to be used in the arbitral proceedings shall be English.
These Terms, the Privacy Policy, the Service, as well as any dispute arising out of the same, shall be exclusively governed by the law without regard to its conflict of law provisions.
